Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the ModuMind service (“Service”) operated by ModuMind (“we”, “us”). By creating an account or using the Service, you agree to these Terms.

1. Definitions

  • User: any person who accesses or uses the Service.
  • Account: a registered identity used to access the Service via email/password or third-party single sign-on.
  • Paid Plan: a recurring subscription (Pro Monthly or Pro Annual) granting access to additional features.
  • Content: any data you create, upload or store while using the Service, including mind maps, text, images, and metadata.

2. Eligibility & Account

  1. You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Service.
  2. You agree to provide accurate registration information and to keep your credentials confidential.
  3. You are responsible for any activity occurring under your account. Notify us promptly at mailside@gmail.com of any unauthorized use.

3. The Service

  1. The Service provides:
    • Mind map creation and editing tools
    • Local (IndexedDB) storage and optional cloud-drive sync (Google Drive, etc.)
    • Public share links and export options (PNG, PDF, Markdown, CSV, OPML, JSON)
    • Other features we may introduce from time to time
  2. We aim for continuous availability but do not guarantee uninterrupted operation. Maintenance, force majeure events, or third-party outages may affect availability.

4. Pricing & Billing

  1. Pricing for Paid Plans is published on the Pricing page in U.S. Dollars (USD).
  2. Payments are processed by Polar.sh, our Merchant of Record. Polar.sh handles billing, taxation (where applicable), and invoicing.
  3. Subscriptions auto-renew at the end of each billing cycle unless canceled at least 24 hours before the renewal date. You can cancel any time from the billing portal.
  4. Prices may change. Existing subscribers will retain their current price until the next renewal (grandfathering). Material changes will be communicated by email at least 14 days in advance.

5. Refunds

Refunds are governed by our separate Refund Policy.

6. Acceptable Use

You agree not to:

  • Use the Service to violate any law or third-party right
  • Upload content that is illegal, infringing, defamatory, or harmful
  • Disrupt, reverse-engineer, or attempt unauthorized access to the Service
  • Use automated means (bots, scrapers) without our written consent
  • Resell or sublicense the Service without our prior written agreement

We may suspend or terminate accounts that violate these rules, without prior notice if necessary to protect the Service or other users.

7. Your Content

  1. You retain all intellectual property rights in your Content.
  2. Mind map data is stored on your device (IndexedDB) and/or your selected cloud drive (e.g. Google Drive). We do not store your mind maps on our servers, except when you explicitly create a public share link, in which case the snapshot is hosted on our infrastructure for that purpose.
  3. By using the Service, you grant us a limited, non-exclusive license to host and process your Content solely as needed to operate, maintain, and improve the Service.

8. Termination

  1. You may delete your account at any time from the Settings page. Upon deletion, your account information is removed; payment records may be retained as required by law.
  2. We may terminate or suspend your account for material breach of these Terms.

9. Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free or that all data is recoverable. You are responsible for maintaining your own backups of important data.

10. Limitation of Liability

To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service shall not exceed the amount you paid us in the twelve (12) months immediately preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.

11. Indemnification

You agree to defend, indemnify and hold harmless ModuMind from any claim, damage, loss, or expense arising out of your violation of these Terms or your use of the Service.

12. Changes to These Terms

We may revise these Terms from time to time. The latest version will be posted with an updated “Last updated” date. Material changes will be announced by email or in-product notice at least 7 days before they take effect (30 days for changes adverse to you).

13. Governing Law

These Terms are governed by the laws of the Republic of Korea, without regard to its conflict-of-laws provisions. Any dispute arising out of these Terms shall be brought before the competent courts under the Korean Code of Civil Procedure.
